Step-by-Step Private Limited Incorporation

May 28, 2026 CS Meera Nair Company Registration

Incorporating a Private Limited Company (Pvt Ltd) establishes a solid legal framework for business operations in India. It separates personal assets from business liabilities and makes equity dilution possible during fundraising rounds.

Step 1: Obtain Digital Signatures (DSC)

Since the entire registration process on the MCA V3 portal is electronic, the proposed directors need to obtain Class-3 Digital Signature Certificates (DSC) to sign forms digitally.

Step 2: Reserve Your Company Name

Submit up to two preferred company names via the RUN (Reserve Unique Name) form. Conduct trademark searches to ensure your name is unique and does not violate registered intellectual property.

Step 3: Submit SPICe+ Forms

The SPICe+ form is a consolidated application containing: Form Part A (Name reservation) and Part B (Incorporation details, registered address, director directories). It dynamically processes PAN, TAN, and EPFO registrations in one go.

Step 4: Draft MOA & AOA

Prepare the Memorandum of Association (MOA), defining the company's objective clauses, and the Articles of Association (AOA), outlining internal corporate rules. Once approved, the ROC issues the official Certificate of Incorporation (COI) along with the corporate identity number (CIN).
